this can be a spyware or a virus (an advertising one)

If you have an anti-virus or anti-spyware, please do use them to scan your computer, if you dont have any.. get one. ^^

Sounds like the antivirusXP 2008 virus.
      Whatever you do DON’T pay.
You need a good antivirus and antispyware programme. Try AVG free and spybot.

A friend just had this and it took us about 4 sweeps to clean it.
      Hope this helps.

your computer does not have an up-to-date antivirus, or does not have an antivirus solution at all, follow the instructions below to delete the malicious program:

Use Task Manager to terminate the malicious program’s process.

Delete the original Trojan file (the location will depend on how the program originally penetrated the infected machine).

      Delete the following file:

      %System%\advvpi32.dll

      Empty the temporary directory (%Temp%).

Update your antivirus databases and perform a full scan of the computer (download a trial version of Kaspersky Anti-Virus).

Go with Sly Old Moles answer, it's Smitfraud and the two fixes he has given you are the same as what I would suggest.

Antivirus programs will NOT solve this, they may detect it and remove a portion, but it will return upon reboot.

hmm.. looks like a trojan discusing itself as a protection untit.

bacially all this does is infect your computer and conn you into downloading fake virus scanners to puasuade you to buy there product.

      download AVG FREE http://free.avg.com/

then run a scan till you find the infections then do the following

1, highlight each infection then click move to virus vault

2, now go into virus vault and delete the infections

3, restart your computer and the pop up should be gone

It is very strange that Windows ask for money, are you sure it is a real Windows? That can be a rogue antispyware that is a virus itself.
Try a trustworthy antispyware or if it does not help, try Hijackthis
“If all the prosedures with antispyware programs, scanning and deleting threads were made and your computer is still having problems you can try Hijack this program. It is free and very popular application.
HijackThis is a powerful and effective program specially created to detect and eliminate browser hijackers, plugins, unwanted programs and various malwares. The most important… http://spyoverview.com/articles7.php
